Work for hire contract template

A guide to our Work for Hire Agreement for a Hiring Party commissioning creative services from a Contractor, with written terms for the work, fee, confidentiality, and ownership.

When this agreement fits

The template is set up for a Hiring Party and a Contractor. Consider it when commissioning a defined creative project and the intended deal gives the Hiring Party ownership of the work product, rather than a limited license or shared ownership.

Before using it, agree on the services, deliverables, deadline, total fee, and payment schedule. The standard text describes an independent-contractor relationship, not an employment agreement. Whether that wording fits your actual relationship requires review of your circumstances.

Terms included in the agreement

These are the clauses included in the current standard template. Read them alongside your completed deal details.

Services

Contractor will perform the services described in the Scope of Work and deliver the work product by the Delivery Date.

Work Made for Hire

All work product is a "work made for hire" under U.S. copyright law and is owned exclusively by the Hiring Party. To the extent any work is not a work made for hire, Contractor assigns all rights, title, and interest to the Hiring Party.

Compensation

Hiring Party will pay Contractor the Total Fee stated above according to the Payment Terms.

Confidentiality

Contractor will keep confidential all non-public information received from the Hiring Party.

Independent Relationship

The parties are independent contractors. Nothing in this Agreement creates a partnership, joint venture, agency, or employment relationship.

Governing Law

This Agreement is governed by the laws of the state stated in the Agreement Details, without regard to conflict-of-law principles.

Entire Agreement

This Agreement is the complete agreement between the parties and replaces all prior discussions. Changes must be in writing and signed by both parties.

What you fill in

Scope of Work
Describe the services and each deliverable clearly. Include formats, project boundaries, and the agreed delivery date here: the Services clause refers to a Delivery Date, but the editor has no separate delivery-date field.
Total Fee
Enter the amount the Hiring Party agrees to pay the Contractor for the work. This deal amount is separate from the app’s $9.99 standard-contract price.
Payment Terms
State when and how the fee will be paid, including any agreed deposit, milestones, and final payment.
Both parties
Add the Hiring Party’s and Contractor’s full names, companies where applicable, emails, addresses, and printed names. Check these details before both parties sign in the blue signature areas.
Agreement dates
Enter the effective date and year. The effective date is not a substitute for the delivery deadline in the Scope of Work.
Governing state
Enter the state referred to by the Governing Law clause. Ask an attorney if you are unsure which state to use.

Ownership wording and its limits

The Work Made for Hire clause states that all work product is a work made for hire under U.S. copyright law and belongs exclusively to the Hiring Party. It also includes a fallback assignment of all rights, title, and interest for work that is not work made for hire.

That is the template’s intended allocation of rights, not a determination that your project legally qualifies as work made for hire or that every right can be transferred. The app does not assess copyright eligibility, the Contractor’s authority to transfer rights, or the legal effect of the wording. Consult a licensed attorney about those questions.

The standard clauses do not carve out pre-existing materials or third-party assets, reserve portfolio rights, or define retained licenses, royalties, or shared ownership. If your project needs any of these, do not assume they are included.

Details the standard clauses do not settle

There is no standard revision limit, acceptance process, cancellation procedure, expense-reimbursement rule, late-payment provision, or detailed dispute-resolution process. The confidentiality clause is a short obligation on the Contractor; it does not specify a duration or detailed exceptions.

Ownership is not expressly conditioned on full payment in this template. If you want ownership to transfer only after payment, or need different rights and project terms, seek legal advice and consider the custom contract builder rather than assuming the standard wording provides that protection.

For a recording-production deal with royalty points, credit, and composition-share terms, compare the Music Producer Agreement guide. Choose based on the actual deal, not just its title.

Before both parties sign

Review the completed scope, deadline, payment terms, party details, and ownership clause together. Resolve blank or conflicting details before signing. The optional AI Contract Check may identify missing information or inconsistencies, but it can miss issues and does not replace legal review.

Both parties have blue-highlighted signature areas. The Entire Agreement clause states that later changes must be in writing and signed by both parties.

Standard templates and AI checks are informational tools, not legal advice. Review the agreement carefully and consult a licensed attorney for advice about your specific deal.
