1. Seller and acceptance

Independent Contract Express is provided by SMITHCONSULTINGGROUP LLC ("we", "us"). These service terms form your agreement with SMITHCONSULTINGGROUP LLC. By accessing or continuing to use the service, you agree to these terms. You must be of legal age to enter into a contract and, when acting for an organization, have authority to bind it.

2. Service and professional advice

We provide entertainment contract templates, a custom contract builder, document storage, link sharing, electronic signatures, AI contract checks and online notary booking requests. Templates and AI checks are informational tools, not legal advice or a substitute for a licensed attorney. You are responsible for selecting suitable terms, verifying all details and ensuring that signing and notarization meet applicable law. A booking request is not a completed notarization; scheduling, identity verification and eligibility must be confirmed with the notary.

We do not guarantee uninterrupted or error-free service, enforceability of any contract, or availability of a notary at a particular time.

3. Accounts, plans and access

Provide accurate account information, keep it updated and protect your credentials. You are responsible for activity under your account and for sharing links only with intended recipients.

A Standard contract costs $9.99. Solo costs $9.99 for one contract with a maximum of five share links. Business costs $19.99 per month and includes unlimited share links and reuse of contracts with different clients while active. Notary services are separately priced at $49.99 for the contract add-on or $50.00 for an independent booking. Applicable taxes and the final total are shown at checkout.

Business subscriptions renew monthly until canceled. Canceling Business ends subscription access immediately, rather than at the end of the billing period. Unsigned share links stop working when the owner's required access ends, unless an applicable separate purchase still permits access. Eligible Standard or Solo buyers receive $9.99 off their first Business month where the offer is available at checkout.

4. Payments, billing and refunds

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

Payments, billing, taxes, subscription cancellation and refund mechanics are governed by Paddle's Buyer Terms. Manage billing through My Library or contact Paddle support. Our Refund Policy provides a 30-day refund request period and does not limit mandatory consumer rights.

5. Acceptable use

Do not use the service for unlawful conduct, fraud, spam, impersonation, forged signatures or infringement of intellectual property or privacy rights. Do not upload malware, probe or interfere with security, scrape the service without permission, bypass access or payment restrictions, or attempt unauthorized access. You may not reverse engineer or resell the service except where applicable law permits.

6. Intellectual property and your content

We retain ownership of the service and its software, templates, documentation and branding. Your plan grants a limited, non-exclusive, non-transferable right to use the service within its limits. You retain your rights in your own contract text, prompts, uploaded or pasted materials and signatures. You grant us a limited license to host, process and transmit them only as needed to provide the service.

As between you and us, you may use AI outputs to the extent permitted by law, but outputs may not be unique or eligible for copyright protection. We do not guarantee that an output is free of third-party rights. You must have the necessary rights to all inputs and check outputs before using them.

7. AI checks and content moderation

You are responsible for your prompts, inputs, use of outputs and verification of accuracy. AI can miss important details or produce inaccurate or misleading statements. Do not rely on outputs for regulated legal, financial or other professional advice without qualified human oversight.

Do not use AI checks to create illegal content, deceptive deepfakes, hate speech, malware or content that infringes rights, or to jailbreak or circumvent safety protections. We may refuse or filter outputs, remove or restrict content and suspend accounts to address misuse.

Rights holders may report infringement to SMITHCONSULTINGGROUP LLC using the seller contact details associated with their purchase; Paddle support at paddle.net can assist with identifying the seller. Include the affected document or link, the work claimed to be infringed and your contact information. We may remove disputed content and terminate accounts for repeated infringement.

8. Suspension and termination

We may suspend or terminate access for a material breach, non-payment, security or fraud risk, or serious or repeated policy violations. You remain responsible for keeping independent copies of important documents. Termination does not remove any refund or consumer rights required by law.

9. Liability and changes

To the extent permitted by law, the service is provided as available without implied warranties of merchantability or fitness for a particular purpose. We are not responsible for indirect or consequential losses resulting from reliance on templates or AI outputs. Nothing excludes liability or consumer rights that cannot lawfully be excluded.

We may update these terms and will publish the effective date here. Material changes will be communicated through the service or available account contact details. Changes do not retroactively remove rights relating to prior purchases.
